This Student Agreement ("Agreement") is a legal contract between you ("The Student") and xx, Lovestoned (“The Business”) regarding use of Link + Learn™ (Courses) which includes the in-person training (“Course") and the digital course (“eCourse”). By purchasing, accessing, or participating in the Courses, you agree to comply with the terms and conditions set forth in this Agreement.

1. Payment:
   1.1. The Student agrees to pay the applicable fees as specified by The Business.
   1.2. Payment is due in full upon enrollment unless The Student is using third-party payment installments.
2. Student Obligations:
   2.1. The Student agrees not to share, resell, distribute, or duplicate any part of the Courses’ materials, including but not limited to text, videos, audios, and downloadable resources, with any third party.
   2.2. The Student agrees not to reproduce, modify, adapt, translate, reverse engineer, decompile, or disassemble the Courses in any way.
   2.3  The Student agrees to maintain the confidentiality of all confidential information disclosed during the Courses, including but not limited to trade secrets, business strategies, proprietary methodologies, and personal information of other participants.
   2.4  The Student agrees that their success is dependent on their own efforts, capabilities, and diligence.
   2.5  The Student agrees that they have full capability and the appropriate means to participate in the Courses, including but not limited to transportation, a desktop computer, mobile device, high-speed internet, and English language fluency.
   2.6 The Student agrees that they must be at least eighteen (18) years of age to use this website and the Courses. The Student warrants that by purchasing, accessing, or participating in the Courses they are of legal age to consent to this Agreement. The Business assumes no responsibility or liability for any misrepresentation of The Student’s age.
3. Enrollment:
   3.1. The Student agrees that enrollment in the Course is subject to availability and confirmation by The Business.
   3.2. The Student agrees to provide accurate and complete information during the enrollment process, including contact details.
   3.2. The Student agrees to be responsible for checking their communication channels regularly for updates regarding Courses.
4. Course Schedule:
   4.1. The Business reserves the right to reschedule the dates, times, or location of the Course for any reason deemed necessary, including but not limited to circumstances beyond The Business’ control, such as inclement weather, natural disasters, facility closures, instructor availability, or unforeseen emergencies.
   4.2. In the event of a Course rescheduling, The Business shall make reasonable efforts to notify The Student of any changes as soon as practicable. Notification may be provided via email, telephone, text message, or other communication channels specified by The Business.
   4.3. The Business shall not be liable for any inconvenience, loss, expense, or damage incurred by The Student as a result of course rescheduling, and The Student shall not be entitled to any refunds, compensation, or damages for such changes.
5. Attendance and Participation:
   5.1. The Student agrees to attend all scheduled sessions of the Course and actively participate in class activities and discussions.
   5.2. The Student agrees that active participation is essential for successful completion of the Course.
6. Conduct:
   6.1. The Student agrees to conduct themselves in a professional and respectful manner at all times during the Courses.
   6.2. The Student agrees not to engage in any disruptive or inappropriate behavior that may interfere with the learning experience of other participants.
7. eCourse Access:
   7.1.  The Student acknowledges and agrees that if purchasing the in-person Course, their version of the eCourse will not be available until completion of their in-person Course as opposed to students who purchase only the eCourse in which those particular students get immediate access to*. (*If purchasing an in-person Course prior to the release of the eCourse [Summer 2024], the eCourse version will not be accessible until its launch).
   7.2. The Student is granted access to the eCourse for a "lifetime" period for as long as the eCourse is actively sold by The Business or for as long as The Business is operational ("Access Period").
8. Intellectual Property Rights:
   8.1. All intellectual property rights in the Courses, including but not limited to copyrights, trademarks, trade secrets, and patents, are owned by The Business or its licensors.
   8.2. The Student acknowledges that the Courses’ materials are protected by copyright laws and international treaty provisions.
   8.3. No license or right is granted to The Student except as expressly set forth in this Agreement.
9. Service Interruptions:
   9.1. The Business reserves the right to interrupt your access to the eCourse to perform maintenance or emergency services on a scheduled or unscheduled basis. The Student agrees that access to the eCourse and/or website may be affected by unanticipated or unscheduled downtime, for any reason, but that The Business shall have no liability for any damage or loss caused as a result of such downtime.
10. Termination:
   10.1. The Business reserves the right to terminate The Student's access to the Courses if The Student breaches any provision of this Agreement.
   10.2. Upon termination, The Student must cease all use of the Courses’ materials and destroy any copies thereof in their possession.
11. No Refunds:
   11.1. All sales of the Courses are final and non-refundable.
   11.2. The Business does not provide refunds for any reason, including but not limited to dissatisfaction with the content, change of mind, or inability to access or participate in the Courses.
12. Limitation of Liability:
   12.1. The Student acknowledges that participation in the Course may involve certain risks and agrees to assume full responsibility for their own safety and well-being.
   12.2. In no event shall The Business be liable for any lack of success, failure to achieve desired results, or inability to meet specific goals or expectations following the completion of the Courses.
   12.3. In no event shall The Business be liable for any indirect, incidental, special, consequential, or punitive damages, injury, or loss arising out of or related to the use or participation of the Courses.
   7.3. The Business's total liability under this Agreement shall not exceed the amount paid by the The Student for the Courses.
13. Governing Law and Jurisdiction:
   13.1. This Agreement shall be governed by and construed in accordance with the laws of California.
   13.2. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Los Angeles, California.
14. Entire Agreement:
   14.1. This Agreement constitutes the entire agreement between The Student and The Business regarding the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, and communications, whether written or oral.
By purchasing, accessing, or participating in the Courses, The Student acknowledges that they have read, understood, and agreed to be bound by the terms and conditions of this Agreement.
